1. Acceptance of Terms

2. Use License

3. Services

2Nexis Studio provides digital services including but not limited to:

• Mobile Application Development

• SEO and Digital Marketing
• Custom Software Solutions

3.1 Service Agreements

Specific terms for individual projects will be detailed in separate service agreements or statements of work. These Terms serve as the general framework for all services provided.

3.2 Project Scope

All projects will have a defined scope of work. Any requests for additional features or modifications outside the agreed scope may be subject to additional fees and timeline adjustments.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of 2Nexis Studio and its licensors. The Service is protected by copyright, trademark, and other laws.

4.1 Client Work Product

Upon full payment for services rendered, client-specific deliverables will be transferred to the client, unless otherwise specified in the service agreement. 2Nexis Studio retains the right to use completed work in portfolios and marketing materials unless a non-disclosure agreement specifies otherwise.

4.2 Third-Party Components

Some projects may include third-party software, frameworks, or libraries. These components remain under their respective licenses and are not transferred as part of the work product.

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• A deposit may be required before work commences
• Milestone payments may be scheduled for larger projects
• Final payment is due upon project completion
• Late payments may be subject to interest charges

5.1 Refunds

Refund policies will be outlined in individual service agreements. Generally, deposits are non-refundable once work has commenced.

6. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Provide access to necessary systems, accounts, or resources
• Ensure they have the right to use any content provided to 2Nexis Studio
• Make payments according to the agreed schedule

7. Warranties and Disclaimers

2Nexis Studio warrants that services will be performed in a professional and workmanlike manner. However:

• We do not warrant that our services will meet all of your requirements
• We do not warrant that our services will be uninterrupted, timely, secure, or error-free
• We do not warrant that results obtained from use of our services will be accurate or reliable

The materials on 2Nexis Studio's website are provided on an 'as is' basis. 2Nexis Studio makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

8. Limitations of Liability

In no event shall 2Nexis Studio or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on 2Nexis Studio's website, even if 2Nexis Studio or a 2Nexis Studio authorized representative has been notified orally or in writing of the possibility of such damage.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Confidentiality

2Nexis Studio agrees to maintain the confidentiality of any proprietary information received from clients during project execution. This obligation does not apply to information that:

• Is or becomes publicly available without breach of this agreement
• Is rightfully received from a third party without obligation of confidentiality
• Was independently developed without use of confidential information
• Must be disclosed by law or court order

10. Termination

Either party may terminate a service agreement with written notice. Upon termination:

• Client shall pay for all work completed up to the termination date
• 2Nexis Studio will deliver all completed work products
• Any deposits or advance payments for incomplete work may be forfeited or refunded at 2Nexis Studio's discretion

11. Indemnification

You agree to indemnify and hold harmless 2Nexis Studio, its contractors, and its licensors from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of our services
• Your breach of these Terms
• Your violation of any third-party rights
• Any content or materials you provide to us

12. Force Majeure

2Nexis Studio shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Changes to Terms

2Nexis Studio reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the services.

15. Entire Agreement

These Terms, together with any service agreements and statements of work, constitute the entire agreement between you and 2Nexis Studio regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

17. Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.
